Matt is a corporate lawyer specialising in capital markets, financial services and corporate governance.

Matt advises a range of listed and private companies, financial services firms and fund managers. Matt also acts as company secretary for several New Zealand listed companies, assisting their Board’s with corporate governance and listed company compliance.

Matt has acted on a substantial number of stock exchange listings, private and public capital raisings, takeovers and other mergers and acquisitions transactions. In addition, Matt regularly advises on regulatory requirements for financial services including requirements under the Financial Markets Conduct Act and the NZX Participant Rules. This has led to Matt developing extensive experience engaging with various market regulators such as the Takeovers Panel, Financial Markets Authority and NZX Regulation.

Matt joined Duncan Cotterill in 2010 following 10 years working for a leading boutique corporate M&A law firm in New Zealand. Matt became a partner of Duncan Cotterill in 2012.

My recent experiences include:

  • Acting for New Zealand Rural Land Company Limited on its $75 million initial public offering and NZX listing and approximately $100 million of follow-on capital raises.

  • Acting as company secretary to MOVE Logistics Group Limited and managing the delivery of legal services to MOVE.

  • Acting for Black Pearl Group Limited on its acquisition of New Old Stamp and subsequent NZX direct listing.

  • Acting for Promisia Healthcare Limited on the acquisition and reverse listing of several aged care facilities and retirement villages.

  • Assisting Hobson Wealth Partners with establishing its custodial business.
